Our team at EDN Abogados successfully advised on the sale of Amisoft and Kpitec, developers of digital judicial processing software, which were acquired by Vesta Software Group.
Under the leadership of partner Nicolás Yáñez and associates, Sebastián Matheu, Macarena Sasso, Ignacio Ruiz, and Ariel Arellano, EDN Abogados successfully facilitated the sale of Amisoft Ingeniería SpA and Kpitec SpA (the “Amisoft Companies”) to Vesta Software Group Latam.
The Amisoft Companies are renowned for their development and support of a sophisticated and innovative software platform designed to enable electronic processing of judicial and arbitrational courts in Chile.
Chile's judicial system is widely regarded as one of the most advanced and modern in Latin America. The software platforms developed by the Amisoft Companies have played a crucial role in the large-scale solution of multiple operational challenges of the Chilean judicial system, through a substantial boost in its technological advancement, which has allowed key institutions such as the Judicial Power of the Republic of Chile, the Constitutional Court, the Competition Court, the Public Procurement Court, the Santiago Arbitration and Mediation Center, among other Chilean courts, to provide users with a tool that enables litigation in Chile to be processed electronically, offering a faster, more efficient, and secure service.
This transaction involved the sale of 100% of shares held by the founder’s shareholders, positioning Vesta Software as the sole shareholder of the Amisoft Companies. Barros & Errázuriz served as legal counsel to the buyer.
Finalized on March 12, the deal required a comprehensive approach across various disciplines, such as corporate finance, intellectual property, and labor rights, including meticulous coordination of multiple elements.
