Nicolás Yáñez F. is a corporate attorney with an extensive knowledge and understanding of capital markets regulation, corporate practice and project finance. He has developed his career in capital markets institutions and important law firms. Before joining EDN, Nicolás was a partner at Domínguez & Cía, in charge of the Corporate and Finance department. He was also a Senior Legal Counsel at BICE Group and BTG Pactual, as well as a senior associate in local law firms such as Alessandri & Cía and Morales & Besa. In November 2023, he joined EDN as a partner of the Corporate and Finance Practice.

Nicolás has been a lecturer of the Banking and Financial Law course at Universidad de Chile Economic Law Department (2010-18). In 2019, he graduated from the Master in International Business Law program of the Université de Paris II.

During his practice, he has advised international and local clients in transactions related to corporate and financial matters, M&A, capital markets and securities regulations. He has been in charge of the creation and authorization of insurance companies and banks in Chile. He has also participated in the structuring of different project finances mainly for the construction of power plants. With an important experience in regulated markets, he has acted as a legal advisor for open stock corporations, banks, funds, insurance companies, stock and insurance brokers, issuing public and private debt instruments.

Representative Experience

Advised La Gloria Biomass Power Generation Plant for the project finance with Banco Santander.
Advised from a legal regulatory perspective of all the subsidiaries companies of BICE Bank (broker dealer, asset management entities, insurance company, insurance broker, securities agency and a securitization entity).
Advised BICECORP S.A. (open stock corporation) for the public offering of securities (debt instruments).
Advised numerous issuers of corporate bonds before the Chilean Financial Market Commision (CMF) and the Bondholder Representative.
Advised on different Project Finance either syndicated (such as Huatacondo Solar Photovoltaic Power Generation Plant, Parque El Nogal Wind Power Generation Plant, Los Guindos Generación Termic Central Generation Plant) or bilateral loans; advised the trading desk in connection with derivatives under local regulations and negotiated ISDA’s and CSA with foreign bank counterparts.
Responsible for the process of incorporation and regulatory license from the Securities and Insurance Supervisor (SVS) for BTG Pactual insurance company. Legal General Counsel of the Company, advising in all legal and regulatory issues concerning the Company. Secretary of the Board and its respective Committees.
Member of the team who advised on the incorporation and regulatory license from the Banking and Financial Supervisor (SBIF) for the Bank of China, China Construction Bank and Banco BTG Pactual Chile.
Advised on the merger process of Euler Hermes (Allianz Group) and MAPFRE insurance companies.
Responsible for the registration process before the Chilean Risk Rating Commission (CCR) for different SICAVs (PIMCO, Goldman Sachs, Natixis, Skandia, M&G).
Lecturer of the course of Banking and Financial Law, School of Law Universidad de Chile (2013 - 2018).
